TAL Platform (Data Exchange & AI Agent Marketplace)

1. INTRODUCTION
1.1 These Terms of Use (“Terms” or “User Agreement”) govern access to and use of the TAL platform (the “Platform”), operated by TAL and/or its affiliates (collectively, “TAL,” “Solix,” “we,” “us,” or “our”). The Platform enables users to list, discover, review, and transact in:
- datasets (including health-related datasets),
- AI agents and related tools, and
- paid reviews and evaluations.
1.2 These Terms are legally binding terms and conditions between TAL and you that govern your use of the application. Certain features of the application may be subject to additional guidelines, terms, or rules, which will be posted on the application in connection with such features. All such additional terms, guidelines, and rules (if any) are incorporated by reference into these Terms.
1.3 By accessing or using the Platform, you are accepting these terms (on behalf of yourself or the entity that you represent), and you represent and warrant that you have the right, authority, and capacity to enter into these terms (on behalf of yourself or the entity that you represent). You may not access or use the site or accept the terms if you are not at least 18 years old. If you do not agree with all the provisions of these terms, do not access and/or use the Platform or application. TAL reserves the right to update the terms at any time without notice to you. Continued use of Platform following any change to the terms indicate your acknowledgement of such changes and agreement to be bound by modified terms and conditions.
TAL operates solely as a neutral technology intermediary.
- TAL does not own, control, verify, endorse, or guarantee any listings.
- TAL is not a party to any transaction between users.
- All transactions are directly between users.
You acknowledge that TAL provides hosting, discovery, and transaction facilitation services only.
2. ACCESS TO THE PLATFORM
2.1 License. Subject to these Terms, TAL grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Platform solely for your personal, noncommercial use.
2.2 Certain Restrictions. The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Platform, whether in whole or in part, or any content displayed on the Platform; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Platform; (c) you shall not access the Platform in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Platform may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. Unless otherwise indicated, any future release, update, or other addition to functionality of the Platform shall be subject to these Terms. All copyright and other proprietary notices on the Platform (or on any content displayed on the Platform) must be retained on all copies thereof.
2.3 Modification. TAL reserves the right, at any time, to modify, suspend, or discontinue the Platform (in whole or in part) with or without notice to you. You agree that TAL will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Platform or any part thereof.
2.4 No Support or Maintenance. You acknowledge and agree that TAL will have no obligation to provide you with any support or maintenance in connection with the Platform.
2.5 Ownership. Excluding any User Content that you may provide (defined in Section 5.1 below), you acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Site and its content are owned by TAL or TAL supplier (if any). Neither these Terms nor your access to the Platform transfers to you or any third party rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Section 2.1. TAL and its supplier (if any) reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.
3. ACCOUNTS
3.1 Account Creation. In order to use certain features of the Site, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is current, complete, truthful and accurate; and (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by contacting us and telling us, with sufficient detail, that you wish to delete your account.
3.2 Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. TAL is not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. You may not share your Account with anyone else. You agree to immediately notify TAL of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. TAL cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
4. USING THE PLATFORM
In connection with using or accessing our Services you agree to comply with this User Agreement, our policies, our terms, and all applicable laws, rules, and regulations, and you will not:
- Breach or circumvent any laws, regulations, third-party rights or our system, Services, policies, or determinations of your account status;
- Use our Services if you are not able to form legally binding contracts (for example, if you are under 18 years old), or are temporarily or indefinitely suspended from using our Services, or are a person with whom transactions are prohibited under economic or trade sanctions;
- Take any action that may undermine the feedback systems;
- Transfer your Platform account (including feedback) and user ID to another party without our consent;
- Interfere with the functioning of our Services, such as by imposing an unreasonable or disproportionately large load on our infrastructure;
- Infringe the copyright, trademark, patent, publicity, moral, database, and/or other intellectual property rights that belong to or are licensed to TAL;
- Infringe any intellectual property rights that belong to third parties affected by your use of our Services or post content that does not belong to you;
- Harvest or otherwise collect or use information about users without their consent.
If we believe you are violating this User Agreement or any of our policies, or abusing TAL and/or our Services in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend or terminate your user account(s) and access to our Services, delay or remove hosted content, remove any special status associated with your account(s), and take technical and/or legal steps to prevent you from using our Services. We may cancel unconfirmed accounts or accounts that have been inactive for a substantial period of time. Additionally, we reserve the right to refuse, modify, or terminate all or part of our Services to anyone for any reason at our discretion.
5. THIRD-PARTY LINKS & ADS; OTHER USERS
5.1 The Platform may contain links to third-party websites and services, and/or display advertisements for third parties (collectively, “Third-Party Links & Ads”). Such Third-Party Links and Ads are not under the control of TAL, and TAL is not responsible for any Third-Party Links & Ads. TAL provides access to these Third-Party Links & Ads only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representation with respect to Third-Party Links & Ads. You use all Third-Party Links & Ads at your own risk, and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links & Ads, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices.
5.2 Each Platform user is solely responsible for any and all of its own User Content. We do not control User Content, and you acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others. We make no guarantees regarding the accuracy, currency, suitability, or quality of any User Content and TAL does not endorse any User Content. Your interactions with other platform users are solely between you and such users. You agree that TAL will not be responsible for any loss or damage incurred as the result of any such interactions or your use of any User Content. If there is a dispute between you and any Platform user, we are under no obligation to become involved.
6. USER CONTENT & LICENSE
6.1 “User Content” means any and all information, data and content that a user uploads, posts, inputs, or submits to, or uses with, the Platform. You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party. You represent and warrant that your User Content does not violate our Acceptable Use Policy and you are liable for any damages arising from a violation thereof. TAL is not obligated to backup any User Content, and your User Content may be deleted at any time without prior notice.
6.2 You hereby grant (and you represent and warrant that you have the right to grant) to TAL and its affiliates an irrevocable, perpetual, nonexclusive, transferable, royalty-free and fully paid, worldwide, unrestricted license to store, host, transmit, publish, post, broadcast, adapt, modify, exhibit, make, commercialize, reproduce, distribute, publicly display and perform, and otherwise use and exploit your User Content, and to grant sublicenses of the foregoing rights, for any purpose whatsoever without attribution, accounting or compensation to you or your company. You hereby grant us the right to publish your name in connection with your User Content.
6.3 Acceptable Use Policy:
a. You agree not to use the Platform to collect, upload, transmit, display, or distribute any User Content: (i) that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, misleading, pornographic, obscene, or promotes racism, bigotry, hatred, or physical harm of any kind; (iii) that is harmful to minors in any way; or (iv) that is in violation of any law, regulation, or obligations imposed by any third party.
b. You agree not to: (i) upload any computer viruses, worms, Trojan horses, or any software intended to damage or alter a computer system or data; (ii) send through the Platform unsolicited advertising, junk mail, spam, or chain letters; (iii) use the Platform to harvest or collect information about other users without their consent; (iv) interfere with or disrupt servers or networks connected to the Platform; (v) attempt to gain unauthorized access to the Platform; (vi) harass or interfere with any other user’s use of the Platform; (vii) use a false e-mail address or impersonate any person or entity; or (viii) use automated agents or scripts to produce multiple accounts or generate automated searches, requests, or queries to the Platform.
7. SELLER OBLIGATIONS
7.1 Accuracy and Responsibility for Listings. Each Seller is solely responsible for all datasets and related content it uploads, lists, or otherwise makes available through the Service (“Seller Content”). The Seller represents and warrants that all Seller Content is accurate, complete, up-to-date, and not misleading, and that all pricing, descriptions, and access terms are clearly and correctly stated.
7.2 Rights and Permissions. The Seller represents and warrants that it has all necessary rights, licenses, consents, and permissions to upload, license, and make available the datasets through the Service, and to grant Buyers the rights described in the applicable listing. The Seller shall not upload or distribute any data that infringes or misappropriates any intellectual property rights, contractual rights, or other rights of any third party.
7.3 Compliance with Laws. The Seller shall comply with all applicable laws and regulations in connection with its use of the Service and its datasets, including without limitation laws relating to data protection, privacy, confidentiality, export controls, and sector-specific regulations (including health data regulations, where applicable). The Seller is solely responsible for obtaining all necessary consents and providing all required notices in relation to personal data included in any dataset.
7.4 Data Quality and Integrity. The Seller shall ensure that datasets are free from viruses, malware, or other harmful code, and are provided in the format and condition described in the listing. The Seller shall not manipulate, fabricate, or misrepresent data or metadata.
7.5 Fulfilment and Access. The Seller is solely responsible for delivering or enabling access to purchased datasets in accordance with the terms stated in the listing. Failure to provide access as described may result in removal of listings, suspension of the Seller account, withholding of payments, or other actions by TAL.
7.6 Prohibited Content. The Seller shall not upload or make available any datasets that: (a) are unlawful, harmful, fraudulent, deceptive, or misleading; (b) contain personal data without appropriate legal basis or consent; (c) are subject to confidentiality obligations that prohibit sharing; or (d) violate any applicable industry or regulatory standards.
7.7 Takedown and Cooperation. TAL reserves the right to remove or restrict access to any Seller Content that it reasonably believes violates these Terms or applicable law. The Seller agrees to promptly cooperate with any investigation, takedown request, or regulatory inquiry relating to its datasets.
7.8 Indemnity. The Seller shall indemnify, defend and hold harmless TAL and its affiliates from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (i) Seller Content, (ii) breach of these Terms, or (iii) violation of any applicable law or third-party rights.
8. BUYER OBLIGATIONS
8.1 Lawful Use. The Buyer shall use all datasets and reviews accessed through the Service strictly in accordance with applicable laws and regulations, including those relating to data protection, privacy, intellectual property, and export controls. The Buyer shall not use any dataset or review for any unlawful, harmful, or unethical purpose.
8.2 Compliance with Listing Terms. Each dataset or review is subject to the specific terms, scope of use, and restrictions set by the applicable Seller or Reviewer (“Listing Terms”). The Buyer agrees to comply fully with such Listing Terms, including any limitation on use, redistribution, sublicensing, or commercial exploitation.
8.3 No Unauthorized Use or Redistribution. Unless expressly permitted in the Listing Terms, the Buyer shall not: (a) copy, reproduce, distribute, sell, sublicense, or otherwise exploit any dataset or review; (b) share access credentials or provide access to any third party; or (c) reverse engineer, decompile, or attempt to extract underlying data structures or confidential information.
8.4 Due Diligence. The Buyer acknowledges that TAL does not verify or guarantee the accuracy, completeness, or fitness of any datasets or reviews. The Buyer is solely responsible for evaluating whether a dataset or review meets its requirements prior to purchase and use.
8.5 No Reliance. The Buyer agrees that any reliance on datasets or reviews is at its own risk. TAL does not provide any warranties regarding the outcomes, insights, or decisions derived from such datasets or reviews.
8.6 Prohibited Activities. The Buyer shall not: (a) use the Services to harass, harm, or defraud any Seller, Reviewer, or third party; (b) attempt to circumvent payment obligations or platform fees; (c) interfere with the operation or security of the Services; or (d) access or use datasets in a manner that violates any third-party rights or applicable laws.
8.7 Disputes. Any disputes regarding datasets or reviews, including quality, accuracy, or delivery, are between the Buyer and the relevant Seller or Reviewer. TAL is not a party to such disputes but may, at its discretion, facilitate resolution.
8.8 Indemnity. The Buyer shall indemnify, defend, and hold harmless TAL and its affiliates from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (i) the Buyer’s use of any dataset or review, (ii) breach of these Terms, or (iii) violation of any applicable law or third-party rights.
9. MARKETPLACE FUNCTION; THIRD-PARTY LISTINGS AND TRANSACTIONS
9.1 The Service operates as a neutral online marketplace that enables (i) data providers (“Sellers”) to list datasets, and (ii) reviewers (including universities and other institutions) (“Reviewers”) to list paid reviews, for access by buyers (“Buyers”). TAL does not own, create, sell, license, or control any datasets or reviews listed on the Service. All listings are created and controlled by the applicable Seller or Reviewer, who is solely responsible for the accuracy, completeness, legality, pricing, and availability of such listings. Any agreement for the purchase, license, or access to datasets or reviews is entered into directly between the Buyer and the relevant Seller or Reviewer. TAL is not a party to such transactions and does not assume any responsibility or liability for the performance, quality, delivery, legality, or fitness of the datasets or reviews.
9.2 The Service may enable transactions through integrated interfaces provided by TAL or its third-party service providers (if any). Additional terms may apply to such transactions and will be presented at the time of purchase.
10. PAYMENTS, FEES & CANCELLATIONS
10.1 TAL may facilitate payments on behalf of Sellers and Reviewers by using third-party payment processors or its own payment infrastructure. By initiating a transaction, you authorize TAL (or its designated payment processor) to collect, process, and remit payments in accordance with the applicable listing terms.
10.2 Buyers agree to pay all fees specified in the relevant listing, including any applicable taxes and service fees. TAL may charge Sellers and/or Reviewers a platform fee, commission, or revenue share for transactions completed through the Service, which may be deducted automatically from amounts collected.
10.3 All pricing, refund eligibility, and cancellation terms (if any) are determined solely by the respective Seller or Reviewer and will be disclosed at the time of purchase. Unless expressly stated otherwise, transactions are non-cancellable and non-refundable once access to a dataset or review has been granted.
10.4 TAL is not responsible for issuing refunds or resolving disputes relating to the underlying dataset or review; however, TAL reserves the right to assist in dispute resolution or to issue refunds in exceptional circumstances, in its sole discretion.
11. DATA & PRIVACY
11.1 Use of the Platform is subject to TAL’s Privacy Policy, which forms an integral part of these Terms and is incorporated herein by reference. The Privacy Policy describes how TAL collects, uses, stores, processes, and discloses personal data in connection with the operation of the Platform.
11.2 By accessing or using the Platform, you acknowledge that you have read and understood the Privacy Policy and agree to the processing of your personal data in accordance with its terms.
11.3 TAL operates the Platform as a marketplace facilitating interactions between Buyers, Sellers, and Reviewers. TAL generally acts as an independent data controller with respect to personal data it collects and processes for its own purposes (such as account administration, payments, and platform operations). Sellers and Reviewers may also act as independent data controllers with respect to any personal data they collect, access, or process in connection with their datasets, reviews, or transactions.
11.4 You acknowledge and agree that:
- any personal data contained within datasets or reviews made available through the Platform is provided by the relevant Seller or Reviewer, who is solely responsible for ensuring that such data has been collected and shared in compliance with applicable data protection laws;
- TAL does not control and is not responsible for the data handling practices of Sellers or Reviewers, including their use, storage, or further disclosure of personal data; and
- Sellers and Reviewers may have separate privacy policies or terms governing their data practices, and you are responsible for reviewing and complying with such policies where applicable.
11.5 To the extent that TAL processes personal data on behalf of Sellers or Reviewers (if any), such processing shall be governed by separate data processing terms or agreements, where applicable.
11.6 Users agree not to upload, share, or otherwise make available through the Platform any personal data unless they have a valid legal basis to do so and have provided all required notices and obtained all necessary consents under applicable law.
11.7 TAL implements reasonable technical and organizational measures to protect personal data under its control; however, TAL does not guarantee the security of any data transmitted to or through the Platform and disclaims liability for unauthorized access arising from factors outside its reasonable control.
12. INTELLECTUAL PROPERTY
12.1 All rights, title, and interest in and to the Platform, including its technology, databases (excluding Seller and Reviewer Content), design, text, graphics, trademarks, logos, and other materials (collectively, “TAL IP”), are and shall remain the exclusive property of TAL and its licensors. Except for the limited right to access and use the Platform in accordance with these Terms, no rights are granted to you in or to the TAL IP.
12.2 All datasets, reviews, and related materials uploaded or made available by Sellers or Reviewers remain the sole property of the respective Seller or Reviewer or their licensors. TAL does not claim ownership of such Content. By submitting or listing content on the Platform, each Seller and Reviewer grants TAL a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and make such content available through the Platform, including for the purpose of operating, improving, and promoting the marketplace.
12.3 Subject to compliance with these Terms, the Buyer is granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the purchased dataset or review solely for the purposes and within the scope specified in the Listing Terms.
12.4 TAL respects intellectual property rights and expects users to do the same. TAL reserves the right to remove or disable access to any content that is alleged to infringe the intellectual property rights of any third party and may suspend or terminate accounts of repeat infringers. If you believe that any content on the Platform infringes your intellectual property rights, you may submit a notice to TAL with sufficient detail to enable investigation and appropriate action.
13. DISCLAIMERS
THE PLATFORM, INCLUDING ALL CONTENT, SOFTWARE, PRODUCTS, SERVICES, MATERIALS, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE PLATFORM, IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAL EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. NEITHER WE NOR OUR SUPPLIERS (IF ANY) MAKE ANY WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE PLATFORM, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TAL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF TAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE PLATFORM IS AT YOUR OWN DISCRETION AND RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR CUMULATIVE LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THE PLATFORM (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF ONE HUNDRED US DOLLARS (U.S. $100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.
15. INDEMNIFICATION
You agree to indemnify and hold TAL (and its officers, employees, and agents) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Platform, (b) your User Content, (c) your violation of these Terms, or (d) your violation of applicable laws or regulations. TAL reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of these claims. You agree not to settle any matter without the prior written consent of TAL.
16. COPYRIGHT POLICY
TAL respects the intellectual property of others and asks that users of our Platform do the same. If you believe that one of our users is, through the use of our Platform, unlawfully infringing the copyright(s) in a work, the following information must be provided to our designated Copyright Agent:
- your physical or electronic signature;
- identification of the copyrighted work(s) that you claim to have been infringed;
- identification of the material on our Services that you claim is infringing and that you request us to remove;
- sufficient information to permit us to locate such material;
- your address, telephone number, and e-mail address;
- a statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and
- a statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.
Under 17 U.S.C. § 512(f), any material misrepresentation in a takedown notice may result in liability for the notifying party, including responsibility for any damages, costs, and attorneys’ fees we incur in connection with the notice and the related claim of copyright infringement.
17. FEEDBACK
If you provide TAL with any feedback or suggestions regarding the Platform (“Feedback”), you hereby assign to TAL all rights in such Feedback and agree that TAL shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate without attribution, accounting, or compensation to you. TAL will treat any Feedback you provide as non-confidential and non-proprietary.
18. TERMINATION
18.1 Termination by User. You may stop using the Platform at any time and may terminate your account by following the account closure procedures made available through the Platform or by contacting TAL.
18.2 Termination or Suspension By TAL. TAL may, at its sole discretion and with or without notice, suspend, restrict, or terminate your access to the Platform, remove listings or content, or deactivate your account if: (a) you breach these Terms; (b) TAL reasonably suspects fraudulent, unlawful, or unauthorized activity; (c) your use of the Platform creates legal, regulatory, security, or reputational risk for TAL or other users; (d) required by applicable law, court order, or governmental authority; or (e) TAL decides to discontinue the Platform or any part thereof.
18.3 Effect of Termination. Upon termination of these Terms or your access to the Platform: (a) all rights granted to you under these Terms shall immediately cease; (b) you must immediately stop accessing and using the Platform; and (c) TAL may remove or disable access to your account, listings, datasets, reviews, or other content. Termination shall not affect transactions already completed prior to the effective date of termination.
18.4 Survival. Any provisions of these Terms that by their nature should survive termination shall survive, including without limitation provisions relating to intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, confidentiality, and data usage restrictions.
19. EXPORT CONTROLS; SANCTIONS COMPLIANCE
19.1 Users shall comply with all applicable export control, trade sanctions, import, re-export, and anti-boycott laws and regulations of the United States, India, the European Union, the United Nations, and any other applicable jurisdiction in connection with their access to or use of the Platform, datasets, AI agents, reviews, and related services.
19.2 Users represent and warrant that they are not: (i) located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions or embargoes; or (ii) listed on any governmental restricted-party or denied-party list. Users shall not upload, access, export, re-export, transfer, disclose, or make available any datasets, AI models, software, technology, or services through the Platform in violation of applicable export control, sanctions, data localization, or cross-border transfer laws.
19.3 TAL reserves the right to suspend, restrict, or terminate access to the Platform where necessary to comply with applicable trade compliance, sanctions, export control, or regulatory requirements.
20. GOVERNING LAW & DISPUTES
20.1 These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Subject to any applicable dispute resolution provisions, the courts located in the State of California shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Platform.
20.2 Before initiating any formal legal proceeding, the parties agree to first attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal discussions for a period of at least thirty (30) days after written notice of the dispute.
21. MODIFICATIONS
TAL reserves the right to modify or update these Terms at any time in its sole discretion. Updated Terms will become effective upon posting on the Service or upon notice to users, as applicable. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
22. FORCE MAJEURE
TAL shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including acts of god, natural disasters, pandemics, labour disputes, internet or telecommunications failures, cyber-attacks, governmental actions, or failures of third-party service providers.
23. NOTICES
Any notices required or permitted under these Terms shall be provided electronically through the Platform, by email, or by any other method designated by TAL. Notices to TAL shall be sent to the contact details specified on the Platform.
24. ELECTRONIC COMMUNICATIONS
By using the Platform, you consent to receive communications from TAL electronically, including notices, disclosures, invoices, and other communications related to the Platform. You agree that such electronic communications satisfy any legal requirements that such communications be in writing.
25. RELATIONSHIP OF THE PARTIES
Nothing in these Terms shall be construed as creating any partnership, joint venture, agency, fiduciary, employment, or franchise relationship between TAL and any user, Seller, Reviewer, or Buyer. Sellers and Reviewers act solely as independent parties and are not representatives or agents of TAL.
26. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any applicable listing terms or supplemental agreements, constitute the entire agreement between you and TAL regarding the use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and communications whether written or oral.
